Terms and Conditions for Atrix Digital LLC

Welcome to Atrix Digital LLC! We are a software development company that provides a wide range of development services. Before you use our services, please read the following terms and conditions carefully.

1. Acceptance of Terms and Conditions

2. Service Agreement

Atrix Digital LLC will provide the services listed in the Service Agreement signed by both parties. Any changes or modifications to the Service Agreement must be made in writing and signed by both parties.

3. Payment

The client agrees to pay the fees listed in the Service Agreement. Payment will be due in accordance with the payment terms listed in the Service Agreement. Atrix Digital LLC reserves the right to suspend or terminate services if payment is not received on time.

4. Confidentiality

Atrix Digital LLC will keep all client information confidential, including but not limited to proprietary information, trade secrets, and personal data. We will not disclose any client information to any third party without the client's prior written consent.

5. Intellectual Property

The client retains all intellectual property rights to any materials, data, or other content provided to Atrix Digital LLC for the purposes of the project. Atrix Digital LLC retains all intellectual property rights to any materials, data, or other content created by Atrix Digital LLC for the purposes of the project.

6. Warranty

Atrix Digital LLC warrants that the services provided will be performed in a professional and workmanlike manner. If the client discovers any defects in the services provided, Atrix Digital LLC will correct the defects at no additional cost to the client.

7. Limitation of Liability

Atrix Digital LLC will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the services provided. The client's exclusive remedy for any claim or cause of action arising out of or in connection with the services provided will be limited to the amount paid by the client to Atrix Digital LLC for the services.

8. Termination

Either party may terminate the Service Agreement upon written notice to the other party. Upon termination, the client will pay Atrix Digital LLC for all services provided up to the date of termination.

9. Governing Law

These terms and conditions will be governed by and construed in accordance with the laws of the State of Delaware.

10. Entire Agreement

These terms and conditions, together with the Service Agreement, constitute the entire agreement between Atrix Digital LLC and the client with respect to the services provided.
