These Terms of Service (“Terms”) govern your access to and use of the Atrix Digitalwebsite at atrix.dev, our client dashboard, and any related services (together, the “Services”) provided by Atrix Digital LLC. By accessing or using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Who we are

Atrix Digital LLC is a software development company operating from the United Kingdom, the United Arab Emirates and the United States. Where a separate signed agreement exists between us for a specific project or engagement, that agreement takes precedence over these Terms to the extent of any conflict.

2. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract to use the Services.
• You are responsible for keeping your account credentials confidential and for all activity under your account.
• You must provide accurate information and keep it up to date. We may suspend or terminate accounts containing false information.
• Notify us immediately of any unauthorised use of your account.

3. Acceptable use

You agree not to:

• Use the Services for any unlawful, fraudulent or harmful purpose.
• Attempt to gain unauthorised access to any part of the Services, other accounts, or our infrastructure.
• Probe, scan or test the vulnerability of our systems without our prior written permission.
• Interfere with or disrupt the integrity or performance of the Services, including via automated scraping, denial-of-service activity or excessive request volume.
• Reverse engineer, decompile or attempt to extract source code except where such restriction is prohibited by law.
• Upload content that infringes third-party rights, contains malware, or is unlawful, defamatory or obscene.
• Resell or sublicense access to the Services without our written consent.

4. Professional services

Development, audit, scale and consulting engagements are provided under a separate written statement of work or services agreement setting out scope, deliverables, timelines and fees. Nothing on this website constitutes an offer capable of acceptance; proposals and estimates are indicative until a written agreement is signed by both parties.

5. Fees and payment

• Fees for any paid Services are as stated at the point of purchase or in the applicable statement of work.
• Payments are processed by Stripe. By purchasing, you also agree to Stripe’s terms.
• Unless stated otherwise, fees are exclusive of VAT and any other applicable taxes, which are payable by you.
• Subscription fees renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period.
• Except where required by law, fees already paid are non-refundable.

6. Intellectual property

All content on this website — including text, design, graphics, logos and software — is owned by Atrix Digital LLC or its licensors and is protected by intellectual property law. These Terms grant you no right to use our trade marks or branding.

Ownership of deliverables produced under a client engagement is governed by the applicable services agreement. Absent such an agreement, we retain all rights in our pre-existing materials, tools and know-how.

Content you submit remains yours. You grant us a limited licence to host, process and display it solely to operate and improve the Services.

7. AI-assisted features

Some features generate output using AI models. Output may be inaccurate, incomplete or unsuitable for your purpose, and is provided for assistance only. You are responsible for reviewing and verifying any output before relying on it. Do not submit confidential or personal data you are not authorised to share.

8. Third-party links and services

The Services may link to or integrate third-party websites and services. We do not control them and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.

9. Availability

We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue any part of the Services at any time, and will give reasonable notice where a change materially affects a paid service.

10. Disclaimers

Except as expressly stated and to the fullest extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, Atrix Digital LLC shall not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, data, goodwill or anticipated savings. Our total aggregate liability arising out of or in connection with the Services shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) USD 100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify and hold harmless Atrix Digital LLC, its officers and personnel against any claim, loss or reasonable cost arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

13. Suspension and termination

We may suspend or terminate your access immediately if you breach these Terms, create risk or legal exposure for us, or use the Services in a way that harms other users. You may stop using the Services at any time. Sections 6, 10, 11, 12 and 14 survive termination.

14. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, without regard to conflict-of-law principles. This does not deprive you of any mandatory protection available under the law of your country of residence.

15. Changes to these Terms

We may update these Terms from time to time. The date at the top of this page shows the latest revision. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.
